1. Parties & Acceptance
This Terms & Service Agreement ("Agreement") is between [Legal Business Name] ("we", "us", "our"), operating as Velox, and the business or individual purchasing a plan ("you", "your"). By starting a plan, you agree to this Agreement.
2. Demonstration Before Contract
Before any agreement is signed, we will build and present a working demonstration on your own business at no cost and with no obligation, typically within 48 hours of an initial conversation. A demonstration creates no contract, no payment obligation and no commitment on your part or ours. Nothing in this Agreement takes effect until you sign.
3. Service Term & Minimum Agreement
All plans, Starter, Business, Professional, and Enterprise, are provided under a minimum 12-month service agreement, whether billed monthly or annually. The 12-month term begins on your service start date, regardless of billing frequency.
4. No Setup or Onboarding Fee
There is no setup fee, onboarding fee or build fee. Designing and building your site, configuring your CMS, setting up your chosen modules, training the AI assistant on your content and connecting your domain are all covered by your plan fee. Migrating or importing your existing data is available as a separately quoted one-time service (see the Data Migration & Onboarding add-on); it is not included in your plan fee. Usage-based charges beyond your included allowance are addressed under Usage Overage & Add-on Scoping below.
5. First 3 Months Paid Upfront
On monthly billing, the first 3 months of plan fees are payable in full at signing. This funds the build window described above, work performed whether or not you continue past month 3, and it is non-refundable. On annual billing the year is paid upfront in the ordinary way and this clause adds no further charge. Any time-limited feature promotion on our Pricing page switches on extra product capabilities for a defined window and is unrelated to this billing commitment.
6. Build Warranty, First 3 Months
For the first 3 months after your service start date, we correct any defect in what we built for you at our own cost. That covers our engineering hours, the infrastructure consumed diagnosing and fixing it, and the redeploy. You are not billed for our defects, and no such fix counts against any support allowance. We operate automatic error tracking across your deployment, so a fault is usually raised to us before you report it. This warranty covers work we built. It does not cover a third-party service's own outage, changes you or your staff make to content or configuration, or a new feature requested after launch, which is scoped as a change like any other.
7. Early Termination
You may cancel at any time. If you cancel before the end of the 12-month term, an early-termination fee applies: 50% of the plan fees remaining on your term, meaning the fees that would otherwise have been billed for the remainder of the 12 months. For example, cancelling a $149/mo plan in month 6 leaves 6 months on the term ($894), so the early-termination fee is $447. The fee is calculated on plan fees only. Add-on modules are not subject to the 12-month term and can be cancelled separately at any time. No early-termination fee applies where cancellation follows a material failure by us to provide the service.
8. Data Export & Portability
Your data is always yours. Customer records, booking history, and business content are exportable on request, in standard formats, at any time, including at offboarding. Your domain remains under your control and can be pointed anywhere.
9. Platform Ownership & License
Everything covered above, your data, content and business records, is yours. Separately, the platform itself: its architecture, configuration methodology, deployment tooling and source code, remains our property throughout and after this Agreement. You are licensed to use it for the term of your plan; nothing in this Agreement transfers ownership of it to you. On termination you receive a full export of your own data as described above; you do not receive the underlying codebase or configuration.
10. Usage Overage & Add-on Scoping
Each plan and add-on module includes a defined usage allowance scoped to your plan tier, module type, and operational parameters. Adding a module enables that capability within its tier scope; it does not grant unlimited usage. Custom or expanded usage thresholds are quoted on request. Usage beyond your included allowance is billed at provider cost with no markup, and you may set a hard spending cap at any time.
11. Acceptable Use
You agree not to use the platform for illegal content, to abuse AI or messaging features (e.g. spam, unsolicited bulk messaging), or to resell platform access to third parties without our written agreement.
12. Plan Changes, Upgrades & Downgrades
Modules can be added or removed at any time. Plan upgrades are prorated, so you only pay the difference for the remaining days in your billing cycle. Downgrades take effect at your next renewal date. Neither resets nor extends your 12-month minimum term.
13. Limitation of Liability
Our liability under this Agreement is capped at the fees you paid in the preceding 12 months. We are not liable for indirect, incidental or consequential damages, including lost profits or lost data, to the extent permitted by applicable law.
14. Governing Law & Disputes
This Agreement is governed by the laws of [Governing Jurisdiction, TBD]. Any disputes will be resolved in the courts of that jurisdiction, unless otherwise required by applicable law.
15. Changes to These Terms
We may update this Agreement from time to time. Material changes will be communicated to active customers by email before taking effect.
